ChefOS Terms of Service

These Terms of Service (the “Terms”) govern access to and use of ChefOS™, the kitchen operating system provided by Chef OS Technologies LLC (“Chef OS,” “we,” “us”). Please read them carefully.

By creating an account, subscribing, or using ChefOS, you agree to these Terms on behalf of yourself and any organization you represent.

01Acceptance of Terms

By accessing or using ChefOS you accept these Terms. If you do not agree, do not use the service. If you are entering into these Terms for an organization, you represent that you have authority to bind that organization.

02Eligibility and Account Registration

ChefOS is intended for professional and commercial food-service operations. You must be at least 18 years old and provide accurate registration information. You are responsible for keeping your account information current.

03Organizations, Authorized Users, Roles, and Account Security

ChefOS is organized around organizations, locations, and role-based access (for example Executive Chef, Chef Administrator, Manager, Sous Chef, Cook, Reservation Manager, and Viewer). Organization administrators control who is invited, what role each user holds, and which locations a user may access.

You are responsible for safeguarding credentials and for all activity under your account. Credential sharing is prohibited. Notify us promptly at support@mychefos.com if you suspect unauthorized access.

04Subscription Plans, Free Trials, Billing, Renewal, Cancellation, Taxes, and Refunds

ChefOS is offered on a subscription basis, which may include a free trial. Unless cancelled before the end of the then-current term, subscriptions renew automatically for successive terms at the applicable rate.

Fees are billed through our third-party payment processor. You authorize recurring charges to your payment method. You are responsible for applicable taxes. You may cancel at any time; cancellation takes effect at the end of the current billing period, and except where required by law, fees already paid are non-refundable. If a payment fails, we may suspend or restrict access until the balance is resolved.

05License to Use ChefOS

Subject to these Terms and payment of applicable fees, we grant your organization a limited, non-exclusive, non-transferable, revocable right to access and use ChefOS for your internal food-service operations during your subscription term.

06Platform Ownership

Chef OS Technologies LLC owns and retains all rights in the ChefOS platform, including the software, source code, APIs, AI workflows and prompts, user interface, designs, documentation, templates, branding, logos, trademarks, and proprietary processes. No rights are granted except as expressly stated in these Terms.

07Customer Content

You and your organization retain ownership of Customer Content, including recipes, menus, prep lists, SOPs, inventory records, images, uploaded documents, reservation and event records, and other operational data you submit to ChefOS. We do not claim ownership of your recipes or operational data.

08Limited License to Operate the Service

You grant Chef OS Technologies LLC a limited, non-exclusive license to host, store, back up, process, display, transmit, and otherwise use Customer Content solely to provide, secure, support, and improve the service for you, and as otherwise directed by you.

09Rights in Uploaded Content

You represent that you hold the necessary rights to submit Customer Content to ChefOS and that doing so does not infringe or violate the rights of any third party.

10Acceptable Use

You agree not to:

  • access accounts, organizations, or data you are not authorized to access;
  • scrape, crawl, or bulk-extract data other than your own Customer Content;
  • reverse engineer, decompile, or attempt to derive source code, except to the extent this restriction cannot be prohibited by applicable law;
  • share credentials or resell access;
  • introduce malware or interfere with the security or integrity of the service;
  • infringe intellectual property rights or engage in unlawful or abusive activity.

11Digital Sous Chef and AI-Assisted Features

ChefOS includes AI-assisted features, including the Digital Sous Chef and document import extraction. These features generate suggestions and structured drafts from your prompts, documents, and operational data. AI output may be incomplete or inaccurate and must be reviewed before use.

12Human Review Requirement

AI-generated operational changes are drafts. Under the product workflow, drafts and proposals do not become active until an authorized user — typically an Executive Chef or a user with publish permission — reviews and approves them inside ChefOS.

13Food-Safety and Professional-Judgment Disclaimer

ChefOS is an operational tool. It is not a substitute for trained culinary judgment, a food-safety plan, allergen controls, regulatory compliance, HACCP review, medical advice, or legal advice. You remain responsible for compliance with applicable food-safety and health regulations.

14Customer Operational Responsibility

You are responsible for the accuracy of recipes, allergen information, cooking and holding temperatures, cooling procedures, shelf life, labeling, staffing, reservations, and all operational decisions made using ChefOS.

15Third-Party Services and Integrations

ChefOS relies on third-party providers, including payment processing, cloud hosting, authentication, email delivery, and AI model providers. Your use of integrations may be subject to those providers’ terms. We are not responsible for third-party services outside our control.

16Availability, Maintenance, and Changes

We aim for reliable availability but do not guarantee uninterrupted service. We may perform maintenance and may add, modify, or discontinue features. Where a change is material and adverse, we will make reasonable efforts to provide notice.

17Confidentiality and Data Handling

Each party will protect the other’s non-public information using reasonable care and use it only as needed for the service. Our handling of personal information is described in the Privacy Policy.

18Feedback

If you send us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use it to improve our products, without obligation to you.

19Suspension and Termination

We may suspend or terminate access for non-payment, violation of these Terms, or activity that creates security, legal, or operational risk. You may stop using ChefOS at any time.

20Data Export and Deletion

While your subscription is active you may export Customer Content through available features. After termination, we may delete Customer Content subject to our retention schedules, backup cycles, and legal obligations. Contact support@mychefos.com for export or deletion requests.

21Disclaimers

ChefOS is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the service or AI output will be error-free.

22Limitation of Liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, or data. Where enforceable, our total aggregate liability arising out of or relating to these Terms will not exceed the fees you paid to us in the twelve (12) months preceding the event giving rise to the claim. Some jurisdictions do not allow certain limitations, in which case the limitations apply to the fullest extent permitted.

23Indemnification

You will defend and indemnify Chef OS Technologies LLC against third-party claims arising from your Customer Content, your use of ChefOS in violation of these Terms or applicable law, or your operational decisions.

24Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-laws rules.

25Venue and Disputes

The parties will first attempt to resolve any dispute informally by contacting support@mychefos.com. Any dispute not resolved informally will be brought exclusively in the state or federal courts located in the State of Texas, and each party consents to that jurisdiction and venue. Each party waives any objection based on inconvenient forum.

26Changes to These Terms

We may update these Terms. When we do, we will revise the “Last updated” date above. Continued use of ChefOS after an update constitutes acceptance of the revised Terms.
